• Creators must provide authentic identities and accurate payment details.

2. Overview of Beebz

Beebz is a video-first social commerce platform that connects restaurants, creators, and consumers through short-form video content. Restaurants receive video menus and creator-generated content; creators showcase restaurants through videos; and consumers discover local dining options through personalized video feeds.

3. Creator Content Ownership & License

Creators retain copyright to the content they produce. By posting or submitting content on Beebz, creators grant Beebz a perpetual, irrevocable, worldwide, royalty-free, fully transferable license to:

• Use, store, reproduce, distribute, publicly display, adapt, modify, and promote Creator Content.
• Use Creator Content for commercial purposes, partnerships, advertisements, and promotions.
• Sublicense Creator Content to restaurants and third parties.

4. Restaurant Rights to Use Creator Content

Creators grant restaurants featured in their videos full rights to use that content:

• Across the restaurant's social media accounts;
• On the restaurant's website;
• Inside the restaurant (digital displays, menus, etc.);
• In advertisements or promotional materials.

This license is perpetual, irrevocable, worldwide, and royalty-free. Restaurants do not need additional consent from creators to use such content.

5. Beebz Ownership of Platform Content

All content posted to Beebz may be used by Beebz for:

• Algorithm training;
• Platform promotion;
• Advertising;
• Partnerships.

Beebz may modify or distribute content as needed to operate and promote the platform.

6. Creator Compensation

Creators may earn income through:

• Commissions when their content drives sales;
• Guaranteed visit payments from restaurant subscription packages;
• Bonus incentives offered by Beebz.

Creators are responsible for reporting and paying any applicable income taxes.

7. Restaurant Obligations

• Provide accurate business information.
• Allow creators to film when visits are scheduled and agreed upon.
• Not misrepresent food, pricing, or service quality.
• Comply with all applicable legal, health, and safety regulations.

Beebz does not guarantee sales, bookings, or view counts.

8. Prohibited Conduct

Users must not engage in any of the following:

• Upload harmful, illegal, or copyrighted material they do not own.
• Harass, threaten, or abuse other users.
• Manipulate views, traffic, or app metrics through fraudulent means.
• Engage in deceptive, misleading, or fraudulent activity.

Beebz may suspend or terminate accounts that violate these Terms.

9. Payment Terms

• Subscriptions are billed monthly unless otherwise specified.
• Beebz may withhold or delay payments for suspected fraud or violation of these Terms.
• No refunds will be provided for partial billing periods unless required by law.

10. Termination

Beebz may suspend or terminate accounts for violations of these Terms, fraudulent behavior, or legal or safety concerns. Users may delete their accounts, but any licenses granted under these Terms (including content licenses) remain in effect as described herein.

11. Limitation of Liability

Beebz is provided "as is." To the maximum extent permitted by law, Beebz is not liable for:

• Loss of revenue or customers;
• Negative reviews or reputation impacts;
• Creator or restaurant cancellations;
• Errors or failures by third-party services (e.g., payment processors).

Users assume all risk associated with using the platform.

12. Dispute Resolution

Any disputes arising under these Terms will be resolved through binding arbitration in the primary operating jurisdiction of Beebz, unless otherwise prohibited by applicable law.

13. Changes to Terms

Beebz may update these Terms at any time. Continued use of the platform after changes are posted constitutes acceptance of the updated Terms.
